1. Appointment & Scope

Owner appoints Corvus Homes, LLC (“Manager”) as the exclusive agent to manage short-term rentals at the above property. Services include:

  • Listing & pricing optimization
  • 24/7 guest communication & support
  • Cleaning & maintenance coordination
  • Permit and license compliance
  • Monthly property inspections
  • Building and managing a custom direct booking website

2. Term & Termination

  • Initial Term: Month-to-month, beginning on the Effective Date.
  • Termination: Either party may terminate the agreement with 30 days’ written notice.
  • No Lock-in: Owner may cancel at any time with no penalty.

3. Fees & Payments

  • Management Fee: 20% of gross booking revenue.
  • Repairs under $500: May be handled without Owner approval; Manager will bill for reimbursement.
  • Repairs over $500: Require prior Owner approval before work begins.
  • Reimbursable Expenses: Invoiced monthly; due within 15 days of receipt.

4. Accounting, Payouts & Fees

  • Platform Use: Bookings managed through Airbnb and Hospitable.
  • Hospitable Account: Owner must maintain a Hospitable account linked to their listing.
  • Payout Structure: 80% of booking revenue is paid directly to Owner, 20% directly to Manager.
  • Direct Bookings: Manager builds a booking site; payments processed through Hospitable with same 80/20 split.
  • Cleaning Fees: Collected from guests and paid directly to cleaning vendors. No markup retained by Manager.
  • Processing & Platform Fees: Credit card and platform fees (Airbnb, etc.) are passed through to Owner.
  • Monthly Reporting: Manager provides a statement showing revenue, fees, and net Owner payout.

5. Post-Termination Bookings

If this agreement is terminated, Corvus Homes will continue to receive its standard 20% commission on:

  • Any guest bookings made or confirmed prior to the termination date, regardless of when the stay occurs, and
  • Any guest bookings with check-in dates within 60 days after the termination date, even if confirmed afterward.

This ensures fair compensation for bookings resulting from services performed during the agreement term. No further commission will be owed after the 60-day window.

6. General Terms

  • Independent Contractor: Manager acts as an independent contractor, not an employee or partner.
  • Governing Law: This agreement is governed by the laws of the State of Colorado.
  • Amendments: Any changes must be in writing and signed by both parties.
  • Notices: Communications must be sent to the designated email addresses of each party.
